Qiraa Corpus Contribution Licence

This Qiraa Corpus Contribution Licence ("Licence") governs the intellectual-property and related rights granted to Qiraa Ltd ("Qiraa", "we", "us" or "our") in material contributed to Qiraa Corpus.

It forms part of the legal framework governing Corpus Contributions and should be read together with the Qiraa Corpus Contributor Terms and the Qiraa Corpus Privacy Notice.

You retain ownership of intellectual-property rights that you own in your Contributions. This Licence gives Qiraa the permissions necessary to preserve, develop, publish, distribute, license and reuse those Contributions as part of Qiraa Corpus and related Qiraa products and services.

1. About this Licence

Qiraa Corpus is designed as a persistent and versioned scholarly data infrastructure.

Contributions accepted into permanent Corpus workflows may become part of long-term Corpus history, releases, databases, APIs, research datasets and other Qiraa products or services.

The purpose of this Licence is to ensure that Qiraa has the continuing intellectual-property and related permissions necessary to operate, preserve, develop and distribute the Corpus.

This Licence applies only to rights that you own or are otherwise authorised to grant.

Contributor access, conduct, review, verification, versioning, attribution, third-party materials, account deletion and other operational matters are governed by the Qiraa Corpus Contributor Terms.

2. Acceptance and electronic signature

You accept this Licence when you expressly agree to it through the Qiraa Corpus interface or another acceptance process provided by Qiraa.

Where this Licence is presented for electronic acceptance, your affirmative acceptance is intended to constitute your electronic signature to this Licence to the extent that a signature is required by applicable law.

Qiraa may retain evidence of your acceptance, including:
  • your Qiraa account identifier;
  • your Corpus Actor ID;
  • the version of this Licence accepted;
  • the date and time of acceptance; and
  • limited technical or audit information reasonably necessary to demonstrate acceptance.

Qiraa may require you to accept this Licence before you can submit material into a permanent Corpus workflow.

If you do not agree to this Licence, you must not submit Contributions where acceptance of this Licence is required.

3. Contributions covered by this Licence

For the purposes of this Licence, a Contribution means material that you submit, upload, record, commit or otherwise provide for incorporation into a permanent Qiraa Corpus workflow.

A Contribution may include, where applicable:
  • structured data;
  • text;
  • annotations;
  • metadata;
  • segmentation;
  • classification;
  • corrections;
  • translations or transliterations;
  • commentary;
  • images or other media;
  • voice recordings and recitations;
  • software or code where accepted by a Corpus workflow; and
  • other material accepted for incorporation into the Corpus.

Material clearly identified as a private draft is not treated as a permanent Contribution merely because it has been saved.

The applicable Corpus workflow determines when material moves from a private draft or temporary state into a permanent contribution workflow.

Where no intellectual-property or related right arises in particular data, facts, corrections, classifications or other material, this Licence does not create rights that do not otherwise exist.

4. Ownership and authority

Except where another written agreement expressly provides otherwise, you retain ownership of copyright and other intellectual-property rights that you own in your original Contributions.

This Licence does not assign ownership of your copyright to Qiraa.

By submitting a Contribution, you confirm that, to the best of your knowledge, you have authority to grant the rights that you purport to grant under this Licence.

You do not obtain ownership of third-party or Qiraa material merely because you:
  • edit it;
  • review it;
  • correct it;
  • segment it;
  • classify it;
  • tag it;
  • annotate it; or
  • otherwise contribute to its treatment within the Corpus.

Where a Contribution contains or incorporates material owned by another person, institution, publisher or rights holder, this Licence applies only to rights that you own or are authorised to grant.

Your responsibilities concerning third-party material, source provenance and rights information are governed by the Qiraa Corpus Contributor Terms.

5. Licence granted to Qiraa

To the extent that you own or control the relevant rights in a Contribution, you grant Qiraa a worldwide, perpetual, non-exclusive, royalty-free, fully paid-up, transferable and sublicensable licence to use that Contribution.

Once a Contribution has been committed, accepted, published or otherwise entered into a permanent Corpus workflow, this licence is intended, to the fullest extent permitted by law, to be irrevocable.

The licence includes the right to:
  • host, store, copy and reproduce the Contribution;
  • publish, republish, distribute and make it available to the public;
  • communicate it to the public;
  • modify, correct and adapt it;
  • translate or transliterate it;
  • segment, classify and restructure it;
  • annotate and enrich it;
  • combine it with other material;
  • merge, supersede, replace or revert it through later Corpus history;
  • create derivative works, data, datasets and other material from it;
  • extract and reutilise it as part of a database or dataset;
  • include it in current and future Corpus releases;
  • make it available through websites, applications, APIs and other services;
  • use it for research, search, indexing, computational analysis and analytical systems;
  • use it in machine-learning and artificial-intelligence systems, including training, evaluation and related development;
  • use and distribute it commercially or non-commercially;
  • license or sublicense it to third parties; and
  • otherwise exercise the rights reasonably necessary to develop, operate, preserve, distribute and exploit Qiraa Corpus and related Qiraa products and services.

This licence applies in any media, format or technology now known or developed in the future.

The licence survives closure or deletion of your account, termination of contributor access, removal of your contributor profile, removal of personal attribution and de-identification.

Changes to personal attribution do not, by themselves, revoke or reduce intellectual-property permissions already granted under this Licence. Personal information and de-identification are handled separately under the Qiraa Corpus Privacy Notice.

6. Moral rights

The operation of Qiraa Corpus may require Contributions to be edited, corrected, translated, reformatted, restructured, combined, segmented, adapted, partially used, superseded, distributed or presented without individual attribution in particular contexts.

To the fullest extent permitted by applicable law, in relation to moral rights that you hold in Contributions covered by this Licence, you:
  • consent to Qiraa and its authorised licensees carrying out acts permitted by this Licence;
  • waive those moral rights to the extent that they may lawfully be waived; and
  • agree not to assert waived moral rights against Qiraa or its authorised licensees in relation to uses permitted by this Licence.

This waiver applies only to moral rights that you personally hold and are legally capable of waiving.

It does not waive, transfer or otherwise affect moral rights belonging to another person.

Where a right cannot lawfully be waived, you consent to Qiraa exercising the rights granted under this Licence to the maximum extent permitted by applicable law.

This section does not prevent Qiraa from preserving contributor attribution and provenance where Qiraa considers it appropriate or where applicable law requires it.

7. Voice recordings and performer rights

Where your Contribution includes your voice, a recitation or another recorded performance, you consent to the recording and use of that performance in accordance with this Licence.

To the extent that you own or control performer, recording or related rights in that Contribution, you grant Qiraa the permissions necessary to:
  • make or retain a recording of the performance;
  • copy and reproduce the recording;
  • publish and distribute it;
  • make it available or communicate it to the public;
  • edit, segment, process and transform it;
  • annotate and analyse it;
  • combine it with text, metadata and other Corpus material;
  • include it in datasets, research and analytical systems;
  • use it in Qiraa products and services;
  • license or sublicense applicable rights to third parties; and
  • otherwise exercise the rights granted under this Licence in relation to the recording and performance.

To the fullest extent permitted by applicable law, you also waive any performer moral rights that you hold and that may lawfully be waived, insofar as necessary for uses authorised by this Licence.

This section applies only to performer and related rights that you own or control.

The processing of an identifiable voice recording as personal information, including any later request concerning personal attribution, deletion, restriction or de-identification, is governed separately by the Qiraa Corpus Privacy Notice.

8. Relationship with other Qiraa terms

This Licence forms part of the legal framework governing Contributions to Qiraa Corpus.

The Qiraa Corpus Contributor Terms govern the broader contributor relationship, including:
  • eligibility and access;
  • verification;
  • contributor responsibilities;
  • scholarly and review standards;
  • third-party materials;
  • Corpus governance;
  • commits, versioning and permanence;
  • attribution and de-identification;
  • account suspension or termination; and
  • other operational and contractual matters.

The Qiraa Corpus Privacy Notice governs Qiraa's processing of personal information associated with Corpus contribution.

This Licence governs specifically the intellectual-property, moral-rights, performer-rights and related permissions granted in relation to Contributions.

If there is a direct inconsistency between this Licence and an intellectual-property or rights-grant provision of the Contributor Terms, this Licence takes priority only to the extent of that inconsistency and only in relation to the rights granted under this Licence.

Nothing in this Licence overrides the Privacy Notice or reduces rights that you have under applicable data-protection law.

The provisions in the Contributor Terms concerning governing law, disputes, general terms and other matters not specifically addressed by this Licence also apply to this Licence.
